IP structuring, transactions and (internal) policy

We advise on collaboration and project structures, ensuring IP is housed appropriately with a view to the anticipated results of a project (IP), an exit, insolvency or the departure of key personnel. We audit IP portfolios during transactions, identify risks and negotiate solutions within the transaction. In addition, we have extensive experience in designing and drafting (internal) IP policies for innovative and creative enterprises.

Frequently asked Questions

Over hoe wij werken en wat je van ons mag verwachten.

  • Intellectual property rights often determine to a significant extent the value of a business. A (potential) buyer of your business will therefore want to know which rights the entity owns and whether these have been properly recorded and protected. We help you to map out your IP, optimise it and mitigate any risks.

  • By housing the IP in an entity other than the operating company, the IP is in principle protected in the event of bankruptcy of the operating company, for example. We would be pleased to advise you on the optimal setup for your business.

  • If innovation takes place within your organisation or creative works are developed, an internal IP policy is often sensible so that your employees know when they must report new creations or inventions, how they should handle confidential information and what agreements apply regarding the use of intellectual property rights. Even more important is to make employees aware of the role of IP when working with external parties.

  • It is important for a business to have insight into its intellectual property rights and who owns them. Intellectual property rights represent significant commercial value. Without insight and a clear structure and agreements, disputes regarding ownership and use can arise, for example with (former) employees, freelancers or other engaged parties.
